PRIDE Parade Contingent Application
If you’ve decided that you would like to join Las Vegas PRIDE’s next Annual PRIDE Night Parade, you’re in the right place. The following application is the first step towards ensuring your spot in our spectacular event!
Parade - October 9, 2026 3:00 pm to 11:59 pm - 4th Street and Bridger (Downtown Las Vegas)
Rules & Regulations:
1. Application & Entry Fees – All parade applications and admin fees must be received and paid in full by the last day of September. Applications received after the deadline will be placed at the end of the parade lineup. Absolutely no applications will be accepted after October 1st.
2. Entry Size – Entry size is limited to 50 participants, unless prior approval is obtained in writing from the Las Vegas PRIDE Parade Committee. Entries are limited to 100 feet long, 10 feet wide and 15 feet tall.
3. Curfew Guidelines – All participants must carry a current picture identification card from a recognized government entity in order to follow Clark County curfew guidelines
4. Insurance & Driver’s License – Each vehicle that enters the parade line-up area and/or participates in the parade must have liability insurance, along with a valid driver’s license for its driver, copies of which must be submitted to the Parade Committee. If you are renting a vehicle you may turn in all information at parade check in.
5. Emergency Traffic Lanes – Emergency traffic lanes must remain open at all times. These lanes exist in both the staging area and on the parade route and are clearly marked. It is unlawful to park vehicles, decorate units, practice routines, wait or encumber these emergency lanes in any manner at any time.
6. Drugs & Alcohol – Drugs and alcoholic beverages are strictly prohibited in the entire pre-parade assembly area, as well as on the parade route. Participants who are found to have any drugs or alcohol in their possession or found to be under the influence of such, will be removed and their unit will be disqualified from award contention. Please discourage your participants from consuming any alcohol or drugs prior to, or during, the parade.
7. Parade Handouts / Throwing Items From Your Unit – Due to the danger of physical injury, insurance requirements and littering problems/fines, and disregard of safety regulations by previous parade entrants, all parade participants are forbidden from throwing anything from their unit. Likewise, participants must not, in any fashion, encourage viewers to come out onto the parade route. PLEASE NOTE THAT ANY GROUP FOUND TO BE THROWING ANYTHING FROM THEIR UNIT WILL BE DISQUALIFIED FROM JUDGING AND MAY NOT BE ALLOWED TO PARTICIPATE IN THE SUCCESSIVE PARADES. YOU MUST DISTRIBUTE HANDOUTS VIA HAND PASS ONLY.
8. Performances – Performances that require your unit to stop or slow down and perform are subject to the following restrictions: (1) performances can only occur at the designated locations to be provided to you in your confirmation package; and (2) performances cannot last longer than 1 minute. Violations of this restriction are cause for removal.
9. Overcrowded Vehicles – Las Vegas PRIDE reserves the right to remove persons from any float or vehicular unit, which is determined to be overcrowded to such an extent that the unit may break down or cause injury to participants, volunteers or spectators.
10. Indemnify & Hold Harmless – All applicants are responsible for any and all acts and/or omissions on their part, or on the part of their agents, volunteers and/or employees that may result in the injury or damage to themselves their agents, employees, or to third parties. Applicant specifically agrees to indemnify and to hold Southern Nevada Association of PRIDE, Inc., its agents, servants and employees free and harmless and to defend it/them from any and all claims arising out of any such acts or omissions.
11. Nudity & Obscenity - Nudity and/or obscenity are not be permitted. Any unit, or the participants thereon, not in compliance will be removed from the parade route, be subject to intervention by law enforcement officials and/or forfeit their chances to participate in future parades.
12. Noise – Due to noise abatement laws, units are limited to a 5-minute sound check while in the Parade staging area.
13. Check-In – Check-In will start at 4pm and end at 6:30pm, any entry checking in after 6:30pm will be bumped to the end of the parade line up. PLEASE NOTE THAT PUSH OUT WILL BEGIN AT 7:00PM AND ALL ENTRIES MUST BE READY BY THIS TIME.
14. Verification – A member of the parade committee will verify your application is complete and all fees are paid before assigning you a line up position. Paperwork should be completed prior to the mandatory parade meeting. A member of the Parade Committee will contact you via email should your application need additional information for consideration.
15. Setup – You are responsible for all the items that you brought with you and you must take them with you when you leave. Please remember, the parade finishes at a location different than the staging area. If you are decorating your entry please remember to bring all materials you need, Las Vegas PRIDE will not provide forgotten/missing materials for your entry's decor.
16. Entry Numbers – Entry numbers will be provided by the parade committee and will be used by emcee’s and judges to correctly identify your entry. Please place your entry number on the front left side of your entry as follows:
Walking Banner: in front of entry, left side of banner
Decorated Vehicle: left side of front windshield
Decorated Floats: front left side of your float
17. Signs & Banners – In order to better facilitate parade announcements and TV coverage, a sign or banner providing the name of the organization/business must precede each entry participating in the parade or the entry should have the name prominently displayed on their vehicle. The parade position number presented during check in must be attached to your banner or vehicle window or carried by your designated parade liaison, whichever is most visible to announcers and video cameras.
18. Marching Together – Groups desiring to march with other groups must make this known to the parade committee chairperson by submitting an email to [email protected]. All requests for such arrangements will be met to the best of our ability but are not guaranteed. No unit is allowed to participate alone or as part of another unit without pre-parade registration with Las Vegas PRIDE. Any unit “crashing” the parade will be removed immediately.
19. Be Prepared For Step Off – All units must be ready to move, on cue into the parade or the next unit will proceed. The delayed unit will proceed only at the next convenient time as determined by Las Vegas PRIDE parade starter.
20. Vehicles – All vehicles must have someone present at each vehicle with a key at all times in case the vehicle must be moved. All vehicles are required to be in good operating condition, able to navigate the entire parade route, and able to negotiate all turns
21. Vehicle Breakdown – Towing charges for any unit that breaks down will be at the applicant's expense. Any fees associated with repairs, or law enforcement citations are the responsibility of the person signing the parade application.
22. Flow of Parade – All entries/entrants are required to maintain a continuous forward motion during the parade. No stopping unless directed by Las Vegas PRIDE staff or at the designated performance area. Entries may only stop and perform for 30 seconds. Parade monitors will assist in maintaining a consistent flow of traffic for the duration of the parade. No gaps between parade contingents of more than 20 feet.
23. Wheel Walkers / Unit Liaisons – All units are required to supply liaisons to Las Vegas PRIDE. All units with moving vehicles must supply a wheel walker for each vehicle. Their role is to 1) assist in the safety of those around the vehicle, specifically keeping the area in front of vehicle clear of pedestrians; 2) assist in movement and pacing in the parade of all vehicles and marchers belonging to their unit, and 3) facilitate the progress and safety of the parade in general. Please complete the Designated Parade Wheel Walkers / Liaison form for your unit after completing this application for additional responsibilities. Walkers / liaisons will report directly to Las Vegas PRIDE. Any unit without a walkers/liaison will not be able to participate in the parade.
24. Removal of Participants – Las Vegas PRIDE reserves the right to remove any persons or unit from the pre-parade assembly area or parade that, in Las Vegas PRIDE's opinion, is offensive, a hindrance to the progress of the parade, places other participants or spectators in physical danger or violates any regulations in this application.
25. Las Vegas PRIDE Rights – Las Vegas PRIDE presents the PRIDE Parade for the public as an educational & entertainment event, and reserves all rights as producers. Any reproduction, broadcast, or commercial use of any portion of this event, in whole or in part, in any form is strictly prohibited.
26. Respect Others - Las Vegas PRIDE requests that all parade participants show respect for all ages, races, cultures, creeds, gender and sexual orientations and refrain from anything that would demean any segment of our community. Las Vegas PRIDE urges all entrants to maintain a high degree of sensitivity to and compassion for the feelings, values and views of others.
27. Animals in the Parade – Any entry considering use of live animals must provide clean up service for all waste created by animals. Waste cannot be left on the streets. You are also required to be preapproved by the parade committee before submitting your application. Pre-approval may be obtained by writing to [email protected].
28. Personal Safety – All parade participants should be aware of the possibility of heat exhaustion and/or stroke. Each participant should be made aware of the hazards associated with a marching unit and its participation in the parade. All entrants are encouraged to bring water or replenishing fluids. Las Vegas PRIDE does not assume or accept responsibility for the health, well-being, or safety of any parade participant.
29. Mandatory Meeting – All parade participants should be aware of the Mandatory Night Parade Meeting. This meeting is MANDATORY FOR ALL PARADE CONTINGENTS and at least one representative from your group must attend. During this meeting, the parade committee will review staging information, rules & regulations, judging & awards, and other important information. Each contingent will also meet briefly with a committee member to make sure all required forms and entry fees have been received. The mandatory meeting will be held via Google Meets and event details will be posted online and in email newsletters.

Parade Contingent Liaison Form

In order to reduce gaps between entries during the parade, maintain an appropriate and safe pace, and ensure an entertaining parade for all of our participants, all parade units are required to provide designated parade unit liaisons.

Contingent Liaisons Are Asked To:
1. Walk on either side of every moving vehicle, next to the wheels, to ensure that the area in front of their unit is clear of any pedestrians or other units.
2. Maintain the movement and pacing in the parade of all vehicles and marchers belonging to their unit, maintaining a distance approximately 20 feet from the unit ahead of them;
3. May carry their unit designation number, depending upon the type of unit they are a part of, so that announcers can readily identify your unit and ensure that they have the correct announcement;
4. Serve as a designated contact for their unit for parade monitors along the route;
5. Parade liaisons will be issued, upon check-in at the mandatory parade meeting, an armband or other identification item to be worn during the parade so that they are easily identified by Parade Monitors along the route. If a Parade Staff member requests your assistance, please respond immediately. Liaison requirements are as follows:
Marching Units 01-50 People: 2 Parade Liaisons 51-100 People: 4 Parade Liaisons Primary Decorated Vehicle 2 Liaisons/Wheel Walkers for each vehicle Parade Float 4 Liaisons/Wheel Walkers for each vehicle

FORCE MAJEURE
If either party’s obligations under this Agreement are rendered impossible, hazardous or is otherwise prevented or impaired for reasons beyond a party’s control including, but not limited to, a venue accident, a venue interruption, or failure as related to the venue, act(s) of God, riots, strikes, labor difficulties, epidemics, earthquakes, any act or order of any public authority, and/or any others cause or event including, but not limited to, acts of terrorism, similar or dissimilar, beyond either party’s control, then both party’s obligation with respect to the performance of the Agreement shall be excused and neither party shall have any liability to the other in connection therewith.

HOLD HARMLESS AGREEMENT
By the accepting this application to participate in Las Vegas PRIDE, the applicant, its officers, directors, agents, employees, representatives and/or members agrees to indemnify and hold harmless Las Vegas PRIDE, municipal corporation, its agents, employees, elected officials, volunteers and/or representatives, from and against any loss, claim of loss, injury including but not limited to personal injury, damage including but not limited to property damage, liability or other expense including but not limited to reasonable attorney’s fees and court costs claimed by or resulting from a third party or the applicant or any officer, director, agent, employee, representative of the applicant that arises out of, or is in any manner related to, any act or failure to act by the applicant, its officers, directors, agent, employees, representatives, and/or members in connection with the applicant’s participation in this event.
The undersigned has read this agreement carefully, agrees to comply with the rules and regulations, and represents that he/she/they has the authority to execute this agreement on behalf of the party for whom he/she/they is signing. At the Las Vegas PRIDE Parade and/or Festival, there will be photographers and videographers who will take photographs and video, either through digital or traditional media. The use of these photographs and videos will be within the sole discretion, right and ownership of Las Vegas PRIDE. By accepting this agreement, the participants hereby release to and grant Southern Nevada Association of PRIDE, Inc any and all interests the participants may have in any such photograph or video taken at the events.

If you’ve decided that you would like to join Las Vegas PRIDE’s next Annual PRIDE Festival as a vendor, you’re in the right place. The following application is the first step towards ensuring your business/organization a booth at our spectacular event!

Application Deadline: October 1, 2026

Welcome to Las Vegas PRIDE 2026! This year, our Festival will be held at Desert Breeze Event Center. Ample, well-lit parking is available in the adjacent area. Food vendor spaces are located in a designated food court area. Booths/Spaces will be well marked to assist in finding your designated location.
To participate in this year’s PRIDE festival, review and complete this Exhibitor Application. Please review the application carefully as a number of terms have changed from previous events. Complete the application form below, and then select the booth options that will best suit your needs to complete your reservation request and submit payment.

Food Vendors:
Food Vendors Subject to all applicable License rules and fees. House retains 25% of all food and beverage net sales. Access power is provided. Waste water, grease disposal, and trash removal is provided. REQUIRED MENU to be submitted for all options and pricing and is subject to approval for all items.
Food Vendor Provides/Agrees to:
1. Payment: At event checkout, Food Vendors will provide proof of sales and process payment for % of event sales to Las Vegas PRIDE.
2. Limited Availability: The Las Vegas PRIDE Festival is a limited-space event and exhibitor applications will be processed in the order payment is received. 3. Security/Cleaning Deposit: A $150.00 security/cleaning deposit authorization form is required from ALL EXHIBITORS. The exhibitor agrees to leave their area in the same condition as they found it. Prior to leaving, the exhibitor agrees to have a Las Vegas PRIDE representative inspect the booth space. Inspections for check-out begin at 8:00 PM. In the event that additional cleaning, grease removal, etc. is required, the cost of such will be charged as the cleaning deposit. Should damages exceed the cost of the cleaning deposit, the exhibitor will be held responsible and charged for any and all needed repairs. If the space is found to be satisfactory (clean and free of debris and physical damage), the cleaning deposit will not be charged. Leaving the event prior to 8:00 PM on Saturday will result in a charge of Security/Cleaning deposit.
4. Deadlines: Exhibitor applications are due by September 20. Completed Applications, with payment in full must be received by 5:00 PM on September 20. Applications received after the deadline will be subject to a $100.00 late fee and only be accepted based on space availability.
5. Refunds: Requests for booth fee refunds must be made in writing to Las Vegas PRIDE and postmarked no later than September 20. Absolutely NO refunds will be made after September 20. In the event of cancellation by Las Vegas PRIDE prior to September 20 a full refund will be made to exhibitor, cancellations made before September 1 will receive a 50% refund.
6. Application Confirmation: You will receive an e-mail confirmation when your completed application and payment has been processed by Las Vegas PRIDE. Please allow 7-10 business days after receipt for your application to be processed. This is the only confirmation that will be sent. A welcome packet with maps and booth location will be available at check-in. If you have not received an email confirmation prior to one week before the event, please contact [email protected] to check on the status of your application.
7. Permits/Licensing/Insurance: Exhibitors are required to obtain, at their own expense, any and all permits, licenses and/or insurances that may be required by the City of North Las Vegas and/or Clark County and/or the State of Nevada. Las Vegas PRIDE is not responsible for any fines incurred by exhibitors who do not have necessary permits/licensing/insurance. Seven days prior to the event FOOD VENDORS must submit a Temporary Food Establishment Application for Special Event to the Clark County Health District. Applications are available at the Southern Nevada Health District website: http://www.southernnevadahealthdistrict.org/. Food Vendors must provide Las Vegas PRIDE with a copy of the approved Special Event Permit before beginning operations at the festival. All Exhibitors & Food Vendors are required to provide proof of insurance covering their participation in the Las Vegas PRIDE Festival.
8. Inspections: All food vendors must be ready for inspections by the Southern Nevada Health District by 11:00 AM on the day of the festival. All Food Vendors will also be subject to random inspections by Las Vegas PRIDE throughout the festival event to ensure compliance with proper health department regulations. There will be a MANDATORY meeting prior to the event to cover all Clark County Health District regulations; time and date to be communicated at a later time via e-mail.
9. Sales Tax: Las Vegas PRIDE will coordinate with all vendors for reconciliation of tax payments - those filing on their own must indicate this and return all applicable forms and documents to Las Vegas PRIDE and may be responsible for follow up with Nevada Taxation Depatment.
10. Check-In: Check-In time slot will be assigned for the Festival. Exhibitors not checked in by 11:30 AM on Saturday, are NOT guaranteed accommodation. Absolutely NO FEES will be refunded for exhibitors arriving after the deadline and/or for "no shows". LAS VEGAS PRIDE DOES NOT PROVIDE ANY CARTS, VOLUNTEERS OR OTHER ASSISTANCE FOR EXHIBITOR CHECK-IN OR CHECK-OUT.
11. Drive-In Festival: You will be assigned a load-in time on Friday. Assistance with carry in/out is NOT provided. Please note that exhibitor booths are located in the center of a large area and plan your loading needs accordingly. Vehicles will NOT be allowed onto the festival grounds.
12. Check-Out: All exhibitors much check out with a Las Vegas PRIDE representative prior to leaving. Exhibitors agree not to check out prior to 8:00PM on Saturday. All exhibitor equipment and personal items must be removed by 11:00PM the final day of the festival. Exhibitors that do not check out with a Las Vegas PRIDE representative will forfeit their cleaning/security deposit.
13. Damage: Exhibitors are solely responsible for any damages caused during load in/out or while the event is in progress.
14. Parking: Exhibitors must park their vehicles in the public parking area immediately after unloading. No vehicles may block designated fire lanes, or be parked in otherwise restricted areas. Illegally parked vehicles will be immediately towed at the owner's expense. Vehicles may only be driven onto event grounds with express permission from event staff.
15. Merchandise (Exhibitor): A list of all items to be displayed, offered for sale, or distributed without charge must be stated on the application. Only items indicated on the application may be displayed, sold or offered (with or without charge) at this event. Any exhibitor found in violation of this policy may be subject to immediate removal from the festival with NO refund of exhibitor fees. Absolutely no beverages may be offered for sale or given away by food vendors. Absolutely NO Alcoholic Beverages may be brought onto the festival grounds (including for personal use) by exhibitors. Any exhibitor found in violation of this policy will be immediately removed from the festival with NO refund of exhibitor fees.
16. Strolling: Exhibitors may conduct business only inside and immediately in front of their rented space. No exhibitor may conduct business "strolling" throughout the festival grounds. Any exhibitor found in violation of this policy may be subject to immediate removal from the festival with NO refund of exhibitor fees.
17. Security: Las Vegas PRIDE provides only limited overnight security and assumes no liability for property or equipment left on festival grounds. Exhibitors may leave items in their space overnight but Las Vegas PRIDE accepts no responsibility for the security of said items. Cover all materials. It may get damp overnight and sanitation services use leaf blowers to clean.
18. Non-Discrimination: Exhibitors agree not to discriminate against any individual on the basis of sexual orientation, gender, race, color, physical limitations, or heritage. Las Vegas PRIDE reserves the right to require any exhibitor to remove from display and immediately cease selling or distributing any item that could be deemed inappropriate and/or might cause a disturbance. Sexist, racist, homophobic, pornographic or other offensive materials will not be permitted. Any exhibitor found in violation of this policy may be subject to immediate removal from the festival with NO refund of exhibitor fees.
19. Noise: As a courtesy to other exhibitors, please keep amplified sound from your booth at a reasonable level. Excessive sound will be limited by the Vendor/Exhibitor Chairman.
20. Firearms: All weapons and firearms (loaded or unloaded) whether concealed or exposed are strictly prohibited from the festival grounds.
21. Animals: Pets are allowed on the festival grounds, but must be well-behaved and leashed.
22. Sale of Food: ONLY designated food vendors are allowed to offer food for sale.
BEVERAGE SALES ALL BEVERAGES SOLD ON SITE MUST BE PURCHASED FROM THE HOST. Water - $4 per bottle (may be purchased is 24 case lots for $48/case ($2/Bottle) - un-used, un-opened product may be returned and refunded). Beverages MAY NOT be combined with food items or sold in any way as an offer or promotion. Optional Banner can be printed for your booth with your logo for $45. Security Deposit of $250 required per order. For-Profit County License fee of $80 per order required. Non-Profit County License fee of $40 per order required. Electrical fee of $50 per booth required.
Las Vegas PRIDE Provides/Offers:
1. Booth Space: Each booth space will have a ten-foot by ten-foot area. Booth spaces have grass floor. (No tents will be provided)
2. Tables/Chairs: All exhibitors will receive an 6 foot banquet table and two folding chairs. Additional tables and chairs are available for rent (see Application Form). There are no refunds or fee reductions for unused tables/chairs.
3. Power: Booths on the perimeter of the festival will have access to power. If you require power, you can reach out to us to see if we can place you on the perimeter, however this cannot be guaranteed. Note: Las Vegas PRIDE does not provide lighting or extension cords.
4. Admission Tickets: Each exhibitor will receive two admission tickets with their paid application. Tickets may be picked up at vendor check-in the morning of the event. Additional admission tickets may be purchased using the exhibitor order form for the reduced rate of $10.00. Tickets purchased the day of the festival will be $15.00. All booth workers are required to have an admission ticket. Booth workers are NOT considered volunteers by Las Vegas PRIDE.
5. Booth Assignment: Exhibitors will have the opportunity to select their preferred booth type at time of reservation and payment. Please note that Las Vegas PRIDE will assign the final booth location, festival layout is subject to change and no guarantees are offered.
Intended Booth Usage: Please List ALL products/information/services to be provided/sold at your booth. Failure to provide a complete list at this time may result in restrictions and/or eviction from the festival and loss of security deposit. Please make note of any special requests at this time as well.
Proof of Insurance: All Exhibitors must submit a valid certificate of insurance with liability limits of at least $1,000,000 coverage underwritten by an admitted or non-admitted carrier rated no less than “A-” by A. M. Best’s, and name Southern Nevada Association of PRIDE, Inc., and its officers, agents, and employees as an additional insured. Please upload a copy of your proof of insurance using the box below. If you do not provide proof of insurance at this time, you will be required to do so at check-in on the day of the festival. In order to facilitate this requirement for exhibitors who do not have their own insurance, single event coverage which meets this requirement for vendors, concessionaires or exhibitors is available for $65 through Casswood Insurance. Application Agreement The Applicant understands use granted her/him by Las Vegas PRIDE is a LICENSE TO OCCUPY and is not coupled with an interest in the property and Las Vegas PRIDE retains the right to terminate this license to occupy at any time during the term of the Applicants use.
If, in the sole determination of Las Vegas PRIDE, (1) the Applicant is found to have falsified any of the statements contained in this Application; (2) the Applicant is found to have changed or added to the use described in this Application; (3) the Applicant creates a nuisance to Las Vegas PRIDE, its Licensees and/or its Guests; and/or (4) the Applicant’s use of the premises in any other way interferes with orderly, safe and successful conduct of the Festival, this application may be cancelled by Las Vegas PRIDE with no refund of fees.

The Applicant also agrees (1) to furnish all equipment (except as expressly stated in this agreement), inventory, supplies and personnel necessary to the operation of her/his booth; (2) to leave the area fully clean and clear of refuse upon check-out; (3) to sell/distribute only the items listed in the Application order and to make no changes to these items without written consent of Las Vegas PRIDE; and/or (5) to indemnify and hold harmless Las Vegas PRIDE against any and all liabilities arising from the conduct of the operations covered by this contract.

Proceeding affirms that the Applicant and/or organization(s)/ business(es) / individual(s) representing the applicant does not discriminate in hiring, employment, participation or services based on race, ancestry, religion, creed, sex, marital status, physical handicap, medical conditions, national origin or sexual orientation. Las Vegas PRIDE reserves the right to publish this signed affirmation, in whole or part, in the support and pursuit of its purpose and objectives.
I show that I have ready and clearly understand the information contained in this agreement and the responsibilities accorded to me as a participating exhibitor at the annual Las Vegas PRIDE Festival. I understand that I may cancel my application in writing; and if cancellation notice is postmarked before the deadline outlined in this agreement I will receive a refund of all fees paid, less the Security/Cleaning deposit within (60) days of my cancellation.
In addition to what has been stated, I understand that this agreement, either expressed or implied, may not be changed, modified, released, discharged, abandoned, or otherwise terminated, in whole or part by me or any Las Vegas PRIDE representative except by an instrument in writing, signed by three (3) Executive Board members of Las Vegas PRIDE and myself.

I declare that I have read this entire application and shall comply with all rules, guidelines, terms, and conditions. I understand that violation of any regulation is cause for removal from the festival. It is my responsibility to communicate all information contained in this application to my employees/representatives onsite and to insure all participants are in compliance with all rules, guidelines, regulations and laws in regards to participation in the Las Vegas PRIDE LGBT Festival. Information herein provided by me is true, correct and complete, and I am legally empowered by my organization to enter into this agreement.

FORCE MAJEURE
If either party’s obligations under this Agreement are rendered impossible, hazardous or is otherwise prevented or impaired for reasons beyond a party’s control including, but not limited to, a venue accident, a venue interruption, or failure as related to the venue, act(s) of God, riots, strikes, labor difficulties, epidemics, earthquakes, any act or order of any public authority, and/or any others cause or event including, but not limited to, acts of terrorism, similar or dissimilar, beyond either party’s control, then both party’s obligation with respect to the performance of the Agreement shall be excused and neither party shall have any liability to the other in connection therewith.

HOLD HARMLESS AGREEMENT
By the accepting this application to participate in Las Vegas PRIDE, the applicant, its officers, directors, agents, employees, representatives and/or members agrees to indemnify and hold harmless Las Vegas PRIDE, municipal corporation, its agents, employees, elected officials, volunteers and/or representatives, from and against any loss, claim of loss, injury including but not limited to personal injury, damage including but not limited to property damage, liability or other expense including but not limited to reasonable attorney’s fees and court costs claimed by or resulting from a third party or the applicant or any officer, director, agent, employee, representative of the applicant that arises out of, or is in any manner related to, any act or failure to act by the applicant, its officers, directors, agent, employees, representatives, and/or members in connection with the applicant’s participation in this event.
The undersigned has read this agreement carefully, agrees to comply with the rules and regulations, and represents that he/she/they has the authority to execute this agreement on behalf of the party for whom he/she/they is signing. At the Las Vegas PRIDE Parade and/or Festival, there will be photographers and videographers who will take photographs and video, either through digital or traditional media. The use of these photographs and videos will be within the sole discretion, right and ownership of Las Vegas PRIDE. By accepting this agreement, the participants hereby release to and grant Southern Nevada Association of PRIDE, Inc any and all interests the participants may have in any such photograph or video taken at the events.

LAS VEGAS PRIDE SPONSORSHIP AGREEMENT
SOUTHERN NEVADA ASSOCIATION OF PRIDE, INC.
AND __________
This SPONSORSHIP AGREEMENT, effective as of the date executed by authorized representatives of both parties (“Effective Date”), is by and between the Southern Nevada Association of PRIDE, Inc. (hereinafter referred to as "LAS VEGAS PRIDE") and __________ (hereinafter referred to as "SPONSOR"), for the 2026 PRIDE program, (hereinafter referred to as "PRIDE").
WITNESSETH:
WHEREAS, LAS VEGAS PRIDE and SPONSOR desire to enter into an agreement in which LAS VEGAS PRIDE will offer SPONSOR certain promotional opportunities in association with the 2025 Las Vegas PRIDE program, all subject to the terms and conditions provided below.
NOW, THEREFORE, in consideration of the parties’ mutual covenants, warranties, representations and promises contained herein, and other good and valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows:
1. ELEMENTS
a. SPONSOR agrees, in consideration of the receipt of all elements to be provided by LAS VEGAS PRIDE herein, to perform all items included within Attachment A
b. LAS VEGAS PRIDE agrees, in consideration of the receipt of the receipt of all elements to be provided by SPONSOR herein, to perform all elements detailed within Attachment B.
2. NAMES AND LOGOS
During the Term, each party hereby grants to the other the non-exclusive right to use trade names, logos, emblems or insignia (collectively, the “Licensed Logos”) solely about the promotion of the Event and subject to compliance with the provisions of this section. Each party represents and warrants that it has the full legal power and authority to extend the rights granted to the other under this Agreement with respect to the Licensed Logos. Both parties agree that all ownership rights in the Licensed Logos will remain with such party, and that neither party will claim any right, title, or interest in and to the Licensed
Logos, except the limited right to use pursuant to this Agreement, and that neither party will apply for nor obtain any state or federal service mark or trademark registration, or any foreign service mark or trademark registration, covering or including the Licensed Logos. Neither party will act inconsistent with nor damaging to the other party’s trademarks, names, designs, emblems, slogans, logos or insignia or the goodwill associated therewith. Any right to use the Licensed Logos under this Agreement shall terminate upon termination of this Agreement.
3. CONFIDENTIALITY
A. LAS VEGAS PRIDE shall hold in confidence information received from SPONSOR that is designated confidential or proprietary or that a reasonable person would treat as confidential based upon the nature of the information disclosed or the circumstances of the disclosure (“Confidential Information”) for the Term and a period of 2 years thereafter. LAS VEGAS PRIDE shall not disclose Confidential Information to any third party or use Confidential Information for any purpose other than as specified in this Agreement. All information in written, graphic or other tangible form shall be returned to SPONSOR upon request.
B. The foregoing restrictions shall not apply to information that: (a) is or becomes publicly available through no act or omission of the receiving party; (b) was already in the lawful possession of the receiving party without an obligation of confidentiality; (c) is lawfully disclosed to the receiving party by a third party without restriction; (d) is required to be disclosed by subpoena or other legal process, limited to the extent required by the terms of such subpoena or other legal process; (e) is approved in writing by the disclosing party for further disclosure; or (f) is independently developed without reference to the Confidential Information and is so documented by the receiving party.
4. TERM OF AGREEMENT
A. The term of this Agreement shall commence on the Effective Date and shall terminate on the final day of the year in which the agreement originated (December 31, 2026) (the “Term”). This Agreement shall not be extended except upon written agreement by the parties.
B. Transfer of Ownership:
Any transfer of any interest with LAS VEGAS PRIDE by the Board of Directors shall be subject to the terms and conditions of this Agreement and, in such case, the Sponsor shall require such transferee to assume the obligations of the Sponsor under this Agreement.
5. INDEMNITY
Each party (the “Indemnifying Party”) hereby agrees to defend, indemnify and hold harmless the other party, the Indemnified Party’s officers, employees, partners, agents and affiliates (the “Indemnified Party(ies)”)from and against any and all third party claims, action, demands, including any and all damages, liabilities, or expenses, including reasonable counsel fees, for injury to or death of any person and for loss of or damage to any and all property, to the extent arising out of the negligent or intentional acts, errors or omissions or the performance or breach of their obligations of the Indemnifying Party under this Agreement. Notwithstanding the preceding, this obligation to indemnify shall not apply to any claim to the extent arising from any negligent or intentional conduct of the Indemnified Party or of any agent, employee or licensee of the Indemnified Party.
6. LIMITATION OF LIABILITY
IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY, ITS EMPLOYEES, SUBCONTRACTORS, AND/OR AGENTS, OR ANY THIRD PARTY, FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OR LOST PROFITS FOR ANY CLAIM OR DEMAND OF ANY NATURE
OR KIND, ARISING OUT OF OR ABOUT THIS AGREEMENT OR THE PERFORMANCE OR BREACH THEREOF. REGARDLESS OF THE CAUSE OF ACTION AND EVEN IF THE PARTY KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGE.
7. FORCE MAJEURE
If either party hereto shall have been prevented in whole or in part from performing its obligations hereunder by virtue of any cause beyond such party’s control, then the obligation of such party shall be excused for a period of time equal to the period during which the party shall have been prevented from performing; provided, however, that if any such event prevents the occurrence of an event covered by the terms of this Agreement, the parties shall cooperate in good faith such that the rights and obligations of the parties hereunder may be fulfilled by rescheduling, substitution, alternate performance, or similar means.
8. DISPUTE RESOLUTION/ARBITRATION
The parties shall meet within 30 days of written notice of a dispute arising out of this Agreement
to resolve the matter in good faith. Thereafter, the parties agree to arbitrate any dispute arising out of this Agreement. Such arbitration shall be held before an independent arbitrator in Las Vegas, NV, pursuant to the Commercial Arbitration rules in effect at the time of the dispute, as modified by this Agreement and administered by the American Arbitration Association (“AAA”). The United States Arbitration Act, 9 USC §§1-16, as amended, shall govern the arbitration. In the event of any conflict, the AAA rules shall govern. The arbitrator shall have no authority to award relief more than what is permitted by this Agreement. The findings of the arbitrator may not change the express terms of this Agreement and shall be consistent with the arbitrator’s understanding of the findings that a court of proper jurisdiction would make in applying the applicable law to the facts underlying the dispute. THE ARBITRATOR SHALL NOT AWARD ANY PARTY PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES AND EACH PARTY HEREBY IRREVOCABLY WAIVES ANY RIGHT TO SEEK SUCH DAMAGES. Any award shall be binding upon the parties with no right of appeal. If for any reason the provisions of this Agreement requiring arbitration are declared unenforceable, void, or voidable, or if any
action or judicial proceeding is permitted other than as contemplated by these provisions, each party waives any right it may have to trial by jury. Nothing in this section will preclude either party from seeking preliminary and final injunctive relief in the event of the disclosure of such party’s Confidential Information or intellectual property infringement.
9. ATTORNEYS' FEES AND COSTS
If any legal action, arbitration, or other proceeding is brought for the enforcement of or to declare rights or obligations under this Agreement or because of a breach, default, or misrepresentation about any of the provisions of this Agreement, the successful or prevailing party shall be entitled to recover reasonable attorneys' fees and other costs incurred in any such action, arbitration, or proceeding in addition to any other relief to which that party may be entitled.
10. TERMINATION
In addition to whatever rights or remedies either party may have under this Agreement or otherwise, either party may terminate this Agreement at any time, upon written notice, if the other party materially breaches any of the terms of this Agreement. If this Agreement is terminated, all rights and obligations of the parties hereto shall cease, except with respect to any liability arising out of any breach or default hereunder and any liabilities or obligations accrued under the terms hereof prior to such termination and remaining unsatisfied at the time such termination becomes effective. SPONSOR further reserves the right to terminate this Agreement immediately, with notice, if the participation and/or opportunities presented at the Event, as outlined in Exhibit A, become impracticable or unfavorable for SPONSOR.
11. WAIVER
Failure by either party at any time to require performance by the other party of any provisions hereof shall in no way affect the right to require full performance any time thereafter, nor shall waiver by either party of a breach of any provision of this Agreement constitute a waiver of any succeeding breach of the same or of any other provisions, nor constitute a waiver of the provision itself.
12. NOTICES
All notices required to be given hereunder shall be given in writing by (a) certified or registered mail, return receipt requested, postage prepaid, (b) overnight courier or (c) facsimile at the respective addresses set forth below, (d) email, read notification requested, or such other address as may be designated in writing by the parties hereto. Notice shall be deemed given on the date of delivery thereof.

10. GOVERNING LAW
This Agreement shall be governed by the internal laws of the State of Nevada without reference to any conflict of law’s provisions.
11. AUTHORITY
Each person signing this Agreement represents and warrants that (s)he is authorized to execute and deliver this Agreement, that this Agreement is binding upon the party for whom (s)he has signed, and that the signature of no one else is required to bind that party.
12. ENTIRE UNDERSTANDING
This Agreement, including exhibits, contains the entire understanding of the parties with respect to the subject matter hereof and contains all of the terms, conditions, understandings, and promises of the parties hereto and supersedes and replaces all prior agreements and understandings.
13.ASSIGNMENT
Neither party shall assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld, delayed or conditioned.
